Purpose:
To promote our rural legacy as the heritage for present and future generations.
1. Board of Directors
a. The Board of Directors is limited to six (6) members.
b. A Board of Directors member is elected by the general membership. The election will be held annually.
c. Term length is two (2) years. The period of the terms is staggered by one (1) year. Each year three (3) Board members are elected. In the initial election, the FLA general membership will elect six (6) Board members. By a ‘straw vote’, one-half (˝) of the initial Board members will serve a one (1) year term and the other half of the initial Board members will serve a two (2) year term.
d. The three (3) members (six (6) initially) with the most votes from the general membership will serve as Board of Directors members.
e. No member may serve more than two (2) consecutive terms
f. Removal
i. A board member may be removed for absenteeism or for cause
ii. Removal by a minimum of two-thirds (2/3) vote of the FLA general members present at the meeting of the vote
g. Board Meetings
i. Held quarterly
ii. President presides over the meeting
iii. In the event of a tie of a vote, the President would vote
iv. Additional meetings may be called by the President.
1. Other Board members may request a meeting through the President
2. Three (3) or more Board members may call a Board meeting
2. Officers
a. At a minimum, there will be a President, Treasurer and a Secretary. One or more Vice-Presidential position may be created and assigned duties by the Board of Directors.
b. The President shall have the responsibility for the active management of the Alliance and direction of all the affairs of the Alliance.
c. The Treasurer, reporting to the President, shall be the Chief Financial Officer of the Alliance, shall have general supervision of its finances and shall perform such other duties as may be assigned by the President.
d. The Secretary, reporting to the President, shall keep the minutes of the meetings of the Board and shall attend to the giving and serving of all notices of the Alliance required by law or these Bylaws.
e. All officers are appointed and work at the pleasure of the Board of Directors
f. No board member may be an officer.
g. The duties of all officers are further defined in the Corporation’s Operating Handbook
3. Amendments of Bylaws
a. All amendments to these bylaws must be proposed in writing and submitted to members at least seven (7) days before voting on their adoption. Notice of proposal to amend these bylaws, with specific date, time and place for consideration of the proposed changes, must be provided to all member at least seven (7) days before voting. Adoption of and amendments to these bylaws shall require a two-thirds (2/3) vote by the member present at the meeting of the vote.
4. Membership
a. Membership is open to all residents and property owners, 18 years of age and older within the Freeland area
b. The Alliance shall have the right to impose dues for voting members.
c. Members must have been present for at least 3 previous meetings of the past twelve (12) months in order to vote on issues or elections of Directors.
